I see a lot of themes out there referred to as 'flat'. What dos 'flat' mean in the context of xenforo themes/styles?

In most cases it means that the theme follows the principles of flat design.

As opposed to 3D? Or does it mean no floating elements? Just wondering...

Yeah, it avoids making things look 3d and focuses on a clean minimalist style. Avoids things like textures gradients etc.

Not exactly, think of it as a set of rules.. just like in music you have genres such as rock and pop. Each genre follows certain rules.
